THIS TRADEMARK LICENSE AGREEMENT (the “Agreement”) between the Heart and Stroke Foundation of Canada (“HSFC”) and You, being the individual or organization registering the My Own Fundraiser Event (“MOF Event”), is made effective the date it is accepted by You by clicking “Accept” on the link below.

HSFC is the owner of the trademarks set out below (together, the “HSFC Marks”);

HEART & STROKE FOUNDATION

By clicking on the “Accept Trademark License Agreement” button below, You are agreeing to be bound by the terms and conditions of this Agreement. Once you have accepted this Agreement, You will be permitted to display the HSFC Marks on Your Website and social media, as well as on Your advertising and promotional resources (“Your Material”) for the limited purpose of advertising and promoting the MOF Event identified in Your MOF Event logo request form (the “Purpose”). This Agreement does not grant You the right to advertise that your MOF Event is being endorsed or approved by HSFC, nor does it grant You the right to use the HSFC Marks for any other purpose. If You wish to use the HSFC Marks for another purpose, You must obtain express permission from HSFC by submitting a request to: permissions@hsf.ca.

You shall only use the HSFC Marks in accordance with the HSFC Heart & Stroke Guidelines at a Glance 2016 provided by HSFC and You shall not authorize any third parties to use or display the HSFC Marks. You shall ensure the following text is displayed prominently in association with the HSFC Marks whenever used by You:

™The heart and / Icon on its own and the heart and / Icon followed by another icon or words are trademarks of the Heart and Stroke Foundation of Canada used under license.

You shall only use the HSFC Marks for the Purpose in accordance with the provisions of this Agreement and in such a manner as to protect and preserve HSFC’s rights in the HSFC Marks and You shall not adopt or use any other trademark which includes or is confusingly similar with the HSFC Marks.

This Agreement does not grant or transfer an interest in the ownership of the HSFC Marks or other HSFC intellectual property. HSFC expressly retains all ownership rights in the HSFC Marks and all other HSFC logos, service marks, trade-marks, copyrights and other such intellectual property. By clicking on the “Accept Trademark License Agreement” button below, You are representing and warranting that:

(a) You are the owner of all right, title and interest in and to the content of Your Material other than the HSFC Marks or have otherwise secured rights to use any third party content included in Your Material;

(b) Your Material (i) does not and will not infringe on or violate any copyright, patent, trademark, trade secrets or any other proprietary right of any third party; (ii) is not libelous, defamatory or slanderous; (iii) does not violate or invade any person's right of privacy or right of publicity under Canadian laws; (iv) is not harmful to the user or any third party so as to subject HSFC to liability; and (v) is not otherwise contrary to law; and (c) You have the power and authority to enter into this Agreement, and this Agreement does not violate or breach any other agreement or arrangement, whether oral or written, to which You are bound.

You hereby indemnify and hold harmless HSFC, its officers, directors, employees and associated organizations for any losses, damages, costs, including solicitor and client costs suffered or incurred by HSFC, its officers, directors, employees and associated organizations for any third party claims related to Your use of Your Material.
